STATEMENT OF WORK

(Nursing Staffing Services)

This Statement of Work  (the “SOW”) is subject to the Master Services Agreement by and between _________ (“Supplier”) and Schlegel Villages Inc. (“SVI”) dated _________, 2023 (the “Agreement”). By executing this SOW, the parties agree to be bound by the terms and conditions set out in the Agreement with respect to the Services to be performed under this SOW.

This SOW describes the Services Supplier will provide to SVI the Services for all villages current & future. Village list below.

Definitions

All terms used in this SOW and not otherwise defined in this SOW shall have the meanings ascribed to such terms in the Agreement.

Term of this SOW

The term of this SOW will commence on January 1st, 2023(“SOW Effective Date”) and will continue ,until December 31s, 2023 unless terminated earlier pursuant to Article 8 of the Agreement. Expiration or termination of the Agreement will not serve to terminate this SOW. All applicable terms and conditions of the Agreement will continue to apply to this SOW until the expiration or termination of this SOW. Agreement can be extended for an additional year as agreed upon by both parties.

Supplier Personnel Supplier shall provide the personnel set forth in Table 3.1 below to perform the Services: Table 3.1 Personnel

Agency agrees that covid rates will only be charged if absolutely necessary and only on approval by village before shift(s) scheduled.

Service Provider shall submit an invoice for payment to SVI on the 15th of each month and month end. Invoices shall be paid by within  () days of receipt. Late Payment will incur a service charge of 1.5% monthly calculated monthly on outstanding invoices or amounts beyond 90 days.

SVI will pay all taxes where applicable to all charges incl. Harmonized Goods and Services Taxes.

SVI shall pay Service Provider statutory holiday shifts at time and one half, as per Rate List, Appendix “A”.  The Service Provider rates, as per the Rate List, Appendix “A” shall apply during the term of this Agreement.

Invoices will also include SVI approved out of pocket expenses of the Staff.

Mileage reimbursement at 0.43 per km (i.e. physician appointments, errands, etc.) may apply for escorting of residents off site of village. Parking fees may also apply during visit (i.e. parking lots, meters, etc.). At hospitals the charge is $6/visit or based on hospital parking fees. Copies of receipts must be supplied to SVI if these charges are on invoice.

BY SIGNING BELOW, the Parties agree to be bound by the terms of this SOW as of the SOW Effective Date.
