Private Placement Agreement

This Agreement is entered into this 24th day of April 2019 by and between HOME CARE ASSISTANCE (Montreal) Inc. (HCA) and Faith Jackman (Client). The Client agrees to buy out the caregiving services for our employee Bobbie Sanche (Caregiver) in return for a payment of seven thousand, five hundred dollars ($7,500).  As agreed, this payment will be spread over three (3) equal monthly installments of $2,500, with the first payment due April 26th, 2019, the second payment due May 26th, 2019 and the final payment  due June 26th, 2019. This total amount covers all financial obligations on the part of both the Client Faith Jackman and our Caregiver Bobbie Sanche and releases both parties from their respective HCA contractual agreements.  Upon completion of this signed agreement and payment of the full $7,500, and effective Monday, April 29th, 2019:

1.  The Client understands that the Caregiver, Bobbie Sanche, alone is responsible for her actions; that she is no longer an employee of HCA; and that HCA assumes no responsibility for any act or omission of the Caregiver prior to or after employment by the Client.  The Client understands and agrees that HCA cannot predict the Caregiver’s future behavior or performance and that only the Client can assess the Caregiver’s competence and appropriateness for the Client's position.  The Client also understands that they take full responsibility for the decision to hire and to continue to employ the Caregiver.

2.  HCA cannot be a guarantor of the honesty or reliability of the Caregiver, nor is HCA an agent of the Caregiver or vice versa.  Accordingly, the Client hereby releases and agrees to hold HCA, its directors, officers, employees, successors and assigns harmless from any act of nonfeasance, misfeasance or malfeasance by the Caregiver, and the Client will not hold HCA liable for any other claim which they may have.  HCA hereby grants a full and final release to both the Client and to the Caregiver from any and all claims that it may have had against either party.

3.  This Agreement contains the entire agreement between HCA and the Client, and no statements, promises or inducements made by either party or agent of either party that is not contained in this Agreement shall be valid or binding.  This Agreement may not be enlarged, modified or altered except in writing, signed by the parties hereto.

4.  This Agreement will be binding only upon the parties hereto and shall not include any third party, nor shall HCA be a party to any agreement entered into between the Client and the Caregiver.

5.  The undersigned Tim Thomas confirms that he is a director and officer of HCA and that he has authority to enter into this Agreement as the representative of HCA.
