We were able to honor your ask in full. While we as a general rule do not do stock deals, as discussed, we knew that it was important to you and that it held considerable value for you from a tax perspective. So, after some work over here internally, we were able to get it through. We were also able to reduce the Holdback revenue target to CAD 185k. Finally, we were able to raise Timothy's bonus potential to CAD 100k, and our hope is that his base and bonus will continue to increase as Timothy grows with us and manages increasing revenue! In order to get comfortable with a stock deal, you'll see that our attorney included a fair amount of language around protecting us from pre-close liabilities and non-operating liabilities generally, and we will have to have the deal governed by US law. You will also see a close date of "before November 30th" - my goal is to have this closed in October, and we should plan on that as a target, but our close calendar is admittedly getting pretty busy so we appreciate you giving us some flexibility there. Tim - Lily was really excited about bringing you over. It is obviously a big step for us to expand into Canada for our owned operations, and we see you (along with Timothy) as guiding us in our strategy not just in Eastern Canada but in the country as a whole. Once signed, our next step is to get a welcome interview with Lily and both of you on the books (which I am confident will go well). Then, we can start looking at dates for a diligence visit up to Montreal. Let me know if you have any questions. We are hoping that you can get a signed LOI to us by end of week.
