Details are in the diligence folder. Changes to fix the issue were made September 2021. We expect the penalty to be $50-100k, but for conservatism, we required a much larger and longer holdback than is typical for this deal. The implications for you: 1. We need to flag any costs related to the investigation so that they can be paid or reimbursed by the Sellers and so that Greg knows to include these as an adjustment not to hit EBITDA 2. We are indemnified and can make a claim at any time for all related costs, including both the penalty itself and any costs related to conducting the investigation, which is being self-administered 3.
