PRIVACY TERMS: LIFEGUARD acknowledges and agrees that, as between the parties, LIFEGUARD is solely responsible and accountable under all applicable privacy laws for any personal information collected from customers (=E2=80=9CCustomer Personal Information=E2=80=9D) in connection w= ith the services. Becklar is granted a limited, royalty-free, non-exclusive license to reproduce, distribute, use and display Customer Data solely as necessary to provide the Services, improve the Services, and use aggregated data for analysis and comparison purposes. LIFEGUARD represents and warrants to Monitoring Center that LIFEGUARD has provided all notices and obtained all consents and authorizations required under applicable privacy laws for LIFEGUARD to: (i) permit Monitoring Center to transfer Customer Personal Information outside of the Canada (including to the United States); and (ii) consent to SMS, phone call, email to subscriber and all calls list members on subscriber's account; and (iii) consent to use LIFEGUARD's name in marketing materials. We have 3 redundant facilities for all data (Utah, Idaho and Montreal) to be redundant. LIFEGUARD acknowledges data will flow between all 3 locations for redundancy. CONFIDENTIALITY: Monitoring Center agrees that LIFEGUARD=E2=80=99S customer= list, all records pertaining to such customers, including but not limited to name, address, type of alarm system and service, contract information, passcodes, customer contact information, special response instructions, customer telephone numbers, central office records, LIFEGUARD information and pricing are LIFEGUARD=E2=80=99S proprietary information and confidentia= l and shall be treated as such by Monitoring Center and Monitoring Center shall not publish or disclose such information to any person, firm, corporation or any entity, nor use such information for any purpose other than in the interest of LIFEGUARD and with LIFEGUARD=E2=80=99S consent. LIFEGUARD shall= have the right to all its Subscriber records and data upon request if LIFEGUARD complies with this Agreement.
