We just received the NEQ number for AmalCo. I have updated your letter (clean and redlined copies attached). I have also attached the certificate of amalgamation and an updated organizational chart. We have included two other subsidiaries in the organizational chart which have no relevance to this exercise. We can remove those two subsidiaries if you think it would simplify the process.

Please let me know if you have any comments. If not, we can coordinate execution with Tim. Will you be coordinating the delivery of the signed letter and attachments to AMP?

Hi Chantal and Jean-Philippe,

Further to the call we had earlier this year, we are proceeding with the amalgamation of Home Care Assistance (Montreal) Inc. with effect January 1, 2026. Can you please let us know what you require in order to update the AMP certification? I appreciate it cannot be updated until the amalgamation has actually occurred although we would like to make all advanced preparations.

I can confirm the following points which I believe will be relevant:


  1.  The name of AmalCo will be “TheKey Care Ltd.”
  2.  Orofresh Enterprises Inc., 2004437 Alberta Ltd., SJD Care Services Inc., Home Care Assistance (Montreal) Inc., Arya Healthy Living Oakville Inc., Prairie Senior Care Inc., all of which are wholly owned by HCA Home Care Assistance Canada Inc., are amalgamating. In other words, HCA Home Care Assistance Canada Inc. is currently the sole shareholder and will continue to be the sole shareholder after amalgamation.
  3.  AmalCo will be amalgamated in the Federal jurisdiction. Note that the other subsidiaries are continuing into the Federal jurisdiction immediately prior to the amalgamation, and the name of 2004437 Alberta Ltd. will be changing as part of the continuation, if that is of any relevance. Home Care Assistance (Montreal) Inc. is not undergoing a continuation as it already exists in the Federal jurisdiction.
  4.  The current directors of Home Care Assistance (Montreal) Inc. are Timothy Thomas and Chris Gerard. Upon amalgamation, the AmalCo will have the same board of directors (Timothy Thomas and Chris Gerard).
  5.  Chris Gerard is the sole officer (CEO) Home Care Assistance (Montreal) Inc. and will continue to have that position with AmalCo after amalgamation.
  6.  There is no change of control. Control is and will remain with Home Care Assistance (Montreal) Inc.

Of course. @Chantal Abou Jaoudi<mailto:cabou@fasken.com>, the plan is to amalgamate a number of TheKey Canadian operating subsidiaries, including Home Care Assistance (Montreal) Inc., into the Federal jurisdiction. AmalCo will have the name “TheKey Care Ltd.” Please let me know if you would like to have a call to run through implications for the AMP application and steps required to update it to properly reflect AmalCo.
