Attached are our= redlines to both documents. Below is an overview of our comments: MSA 1. Section 7 - Requesting that the indemnity provision is mutual. I kn= ow our legal always asks why this is needed? We are not providing any servi= ce or product so what would need to indemnify? Please explain 2. Section 8.2 - Requesting that the 60 day termination for convenienc= e provision be mutual. We are good with that 3. Section 9.11 - Flagging this provision as it is likely the most imp= ortant business term to discuss with the site. The site's placement fee to= hire our caregivers is only $2500; our standard rate across North America = is $30,000. As we had mutually agreed in the past, we can maintain the spec= ial rate of $5,000 for placement fee for Schlegel Villages. We have all oth= er agencies agreeing to 2500. We feel before 500 hours this is fair and gau= ging by agreement from other agencies they feel it is fair as well SOW 1.
