Tim 7.4 Altomedic acknowledges that during the performance their duties with the supplier, they will receive and have access to the supplier's Confidential Information. Because of the nature of the supplier's business, the protection of such Confidential Information is of vital concern to the supplier. Altomedic understands that =E2=80=9CConfidential Information=E2= =80=9D means all information disclosed or known, either directly or indirectly in writing, orally or by drawings or observation, as a consequence of or through dealings with the supplier, that is not generally known to the public or in the relevant trade or industry about the supplier's business, products, processes, and services, including, but not limited to: the identity of customers and suppliers; customer and supplier lists, files and information; personnel files; technical data; research and research plans; process descriptions; services; market studies; financial information, cost and pricing strategies and information; business methods or practices; training or training processes; internal accounting controls and procedures; information concerning receipts, revenues and other financial information; marketing and promotional programs; computer software and database technologies specially designed for the supplier. Altomedic recognizes that, as between the supplier and Altomedic, all of the Confidential Information, whether or not developed by the supplier, is the exclusive property of the supplier. 7.5 Altomedic agrees that during the period of this agreement and for a period of twenty-four (24) months immediately following the termination of this agreement with the supplier for any reason (whether with or without cause), Altomedic will not, directly or indirectly: a) Divert or attempt to divert any of the supplier's customers, or customers of any Home Care Assistance 1-866-4-LiveInTM business, to any competitive business, or employ, or seek to employ any of the supplier's employees or the employees of any Home Care Assistance 1-866-4-LiveInTM business, or induce or seek to induce, such employees to leave their employment, or offer assistance, in any way, to any similar businesses anywhere in Canada; or b) Own, maintain, engage in, by employed by, or participate in, the operation of a business the same as or similar to the supplier's business within a twenty (20) mile radius of any Home Care Assistance 1-866-4-LiveInTM office operated in the Province of Quebec.
