As discussed, we come back to you regarding the question of naming Mrs Larouche as a director of francization. Naming Mrs Larouche as a director of francization presents several risks: - A consultant, i.e. a third party towards a company and not an employee, is not entitled to bind its client regarding the OQLF for example. With the designation of Mrs Larouche, if she acts as a consultant, by virtue of her position, she will represent the company before the OQLF and will therefore commit the company regarding obligations related to the Charter of the French Language (which is not possible for a consultant). Acting as such, Mrs Larouche might be considered as an employee, even if she is not designated as such. Note that we are still looking at the circumstances in which a consultant can be considered an employee rather than a third party ; - Conversely, if she acts as an employee, there would be consequences from a labour side as well as from a tax side. - In addition, the question of fiduciary duties (as well as conflict of interest) to the company could arise since she would be acting for several companies: employees are subject to loyalty whereas consultants are not. That is why, to avoid risks, and as mentioned during our meeting, we consider that the best way is to designate one of your employees (which should be a member of the direction), such as the Director of Human Ressources as the representative of the company, with the OQLF. Mrs Larouche will still act in the shadow in that case for the company. We remain available should you want to discuss further. Wanted to check in with you related to our discussion last week as far as Ms. Larouche being our franchization director or your recommendation for the best path forward. Ms. Larouche has notified Tim Thomas that she is the franchaizaiton director for over 55 companies in Quebec. Let us know your thoughts as far as your recommendation.
