Per our discussion, overall this looks good, especially since this is a pilot. Here are the key comments we discussed: 1. Section 11.2 - Given a customer may cancel for a number of reasons outside of our control, we should push back on this provision. I left a comment in the document that this provision will be discussed by the business teams. 2. Section 12.1 - This non-compete was overbroad so I am proposing that it be shortened from 36 to 12 months. In addition, I inserted a mutual provision that Bookjane should not solicit our clients/employees. 3. Section 26.1 - I made the indemnification provision mutual.
