I was not made aware of your changes of NEQ – the OQLF will need to be informed of that – it seems like the remaining of the document that I prepared this am is OK just the signatures sections needs to be amended. You don’t have someone on your end that could do that for you ? If not I will attend to it tomorrow am.

What keeps me fighting for them all is the admiration and support I am getting. There is a lot of great support out there to create changes so I don’t feel alone on the battle field. Thank you for your trust in choosing Option 1. It is not going to be an easy process as 1 2 3 but you must trust me and follow all the steps in order to document your file very well to be finally granted with your decision on Option 1.
The next steps will be confirmed once the resolution has been signed. Also including my signed contract and my proxy letter currently in place which reconfirms what is stated in this resolution. Again, this resolution do not make me a Board Member or a employee of Enphase family simply a recognized not as consultant but a Manager of this project with define obligations to lead this project all the way as my contract and proxy letter stipulated.

This employee cannot have employees under its supervision nor manage a budget. His loyalty will have to be to the OQLF first not Enphase. Pretty bad I know.
Option 1 the resolution was suggestion to bonify the current mandate letter in place and our agreement. It doesn’t make me an employee on payroll not a Board member of your organization. The resolution say Board of Directors. Here, Director does not mean member of the Board of Directors, but rather manager of the francization file. In this sense, this manager who bears the title of Director of francization, for example, is an officer to whom the Board of Directors entrusts the specific mandate of managing the francization file. It is the Board of Directors that is responsible, by law, for the respect of the obligations arising from the Charter. The objective is to ensure that Chantal Larouche (me) is in fact considered a MEMBER OF THE EXECUTIVE BOARD of the company, i.e., an executive of the company, because it is only under this condition that I can represent the company before the OQLF. As my mandate letter already states but the OQLF believe I am just a consultant.

We would have preferred to maintain the status quo; however given the uncertainty of Option 1, we feel this is the best compromise.

Option 2 – passer à un rôle de consultante, en arrière-plan
Si vous souhaitez adopter cette option, mon rôle passera de gestionnaire à celui de consultante sans pouvoir de gestion de votre dossier de francisation et sans le service clé en main actuel. L’article 139.1 ne me permet pas, comme consultante, d’être impliquée directement dans votre dossier et d’être le contact direct avec l’OQLF. Je ne pourrais pas non plus participer au comité de francisation comme représentante de l’entreprise ni comme présidente de ce comité. Des modifications au contrat de service en vigueur devraient donc être apportées afin de retirer les services liés au rôle de mandataire/gestionnaires pour convertir le contrat de service en contrat de consultation. Certaines clauses des obligations légales de GPC devront également être adaptées, le cas échéant.
Veuillez tout simplement m’en informer afin que nous puissions préparer les modifications requises ou, selon le cas, un contrat de service révisé.
Option 3 – Rupture du contrat de service en vigueur
Nous pouvons également rompre notre entente et nous assurer que la transition vers la nouvelle personne responsable du dossier se fait selon vos délais souhaités.
Sachez que nous sommes disponibles pour discuter de vive voix avec vous de toutes les options disponibles et inclure à la discussion les juristes assignés à ce dossier, si nécessaire. Further to the email you received from the OQLF on June 21 with the subject line Representation of your company to the Office québécois de la langue française (see attached) and the response you surely received regarding your request for clarification, here are the options retained for your consideration
Option 1 - Continue the mission by strengthening the existing mandate/manager letter
Please find attached the following documents:
- Summary of the legal opinion (in English and French).
- Draft resolution in French and English to reinforce the existing letter of mandate and manager of the francization project that was submitted to the OQLF when I arrived in your file.
It is possible that the proposed resolutions may not be suitable for companies regulated by professional orders. If this is the case, we will need more information in order to adapt the resolutions to meet your needs.
Option 2 - move to a consulting role, in the background
If you wish to adopt this option, my role will change from manager to consultant without the power to manage your francization file and without the current turnkey service. Article 139.1 does not allow me, as a consultant, to be directly involved in your file and to be the direct contact with the OQLF. I would also not be able to participate in the francization committee as a representative of the company nor as chair of this committee. Modifications to the current service contract should therefore be made to remove the services related to the role of agent/manager in order to convert the service contract into a consulting contract. Certain clauses of GPC's legal obligations will also have to be adapted, if necessary.
Simply advise me so that we can prepare the required amendments or, as the case may be, a revised service contract.
Option 3 - Breach of existing service agreement
We can also break our agreement and ensure that the transition to the new person in charge of the file is done according to your desired timelines.
Please be assured that we are available to discuss all available options with you in person and to include the lawyers assigned to this file in the discussion, if necessary. You can also send us your questions, which will be forwarded to our lawyers in all transparency and shared with you, as is customary in GPC's business practices.
